1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and PartScope ("PartScope", "we", "us", or "our"), a sole trader business based in England, governing your access to and use of the PartScope platform, including all associated websites, applications, APIs, and services (collectively, the "Service").
By creating an account, subscribing to a plan, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.
2. Description of Service
PartScope provides an AI-powered intake and triage platform for heavy equipment parts dealers. The Service captures inbound parts enquiries from multiple communication channels (including email, web forms, telephone, WhatsApp, and SMS), uses artificial intelligence to extract and structure information from those enquiries, and presents that information to operators via a web-based dashboard for review, action, and customer communication.
The Service includes, but is not limited to: AI-powered data extraction, gap detection and readiness scoring, customer intelligence profiles, machine fleet registry, conversation threading, automated follow-up messaging, image and document analysis, team management, and reporting.
3. Accounts and Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
Each organisation ("Organisation") on the platform is created by an account holder designated as the "Owner". The Owner may invite additional users as "Admins" or "Operators". You are responsible for ensuring that all users within your Organisation comply with these Terms.
4. Subscription Plans and Payment
The Service is offered under various subscription plans with different feature sets, usage limits, and pricing. Current pricing is published on our website and may be updated from time to time with at least 30 days' notice to existing subscribers.
Subscriptions are billed monthly or annually in advance. All fees are quoted in British Pounds Sterling (GBP) and are exclusive of VAT, which will be added at the applicable rate. Payment is processed via our payment partner, Stripe. By subscribing, you authorise us to charge your designated payment method on a recurring basis.
If payment fails, we will attempt to collect payment for up to 14 days. If payment remains unsuccessful, your account may be downgraded or suspended. You remain liable for any unpaid fees.
5. Free Trial
We may offer a free trial period for new subscribers. During the trial, you will have access to a limited set of features and usage allowances. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue free trial offers at any time.
No credit card is required to begin a free trial. You will not be charged unless you voluntarily subscribe to a paid plan.
6. Usage Limits and Fair Use
Each subscription plan includes specified limits on the number of cases, operator seats, communication channels, and other resources. Usage beyond these limits may incur overage charges as published on our pricing page, or may result in temporary restrictions on Service functionality.
You agree to use the Service in accordance with its intended purpose — managing legitimate business enquiries for parts. You may not use the Service for bulk marketing, spam, or any purpose unrelated to parts enquiry management.
7. Data Ownership and Processing
You retain all ownership rights to the data you submit to the Service ("Customer Data"), including customer enquiries, case records, machine information, and any other information entered into or processed by the platform. We do not claim ownership of your Customer Data.
You grant us a limited, non-exclusive licence to process, store, and transmit your Customer Data solely for the purpose of providing and improving the Service. This includes processing data through third-party AI services (such as OpenAI) for the purpose of extraction and analysis.
You may export your Customer Data at any time. Upon termination of your subscription, we will retain your data for 30 days, after which it will be permanently deleted unless you request an export or extended retention.
8. AI-Generated Content
The Service uses artificial intelligence to extract information from enquiries, generate suggested follow-up questions, and draft responses. AI-generated content is provided as suggestions only and should be reviewed by a qualified operator before being sent to customers.
We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are solely responsible for verifying AI-generated suggestions before acting on them or communicating them to your customers. PartScope shall not be liable for any loss or damage arising from reliance on AI-generated content without appropriate human review.
9. Privacy and Data Protection
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you agree to the practices described in the Privacy Policy.
Where you process personal data of your customers through the Service, you act as a Data Controller and we act as a Data Processor. We will process such data only in accordance with your instructions and applicable data protection law, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
10. Cancellation and Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except where required by applicable law.
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or use the Service in a manner that threatens the security, integrity, or availability of the platform. We will provide reasonable notice where possible.
11. Service Availability and Support
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. For customers on Enterprise plans with SLA agreements, uptime commitments are as specified in the applicable SLA.
Support is provided via email for all plans. Priority support and phone support are available on higher-tier plans as specified on our pricing page.
12. Limitation of Liability
To the maximum extent permitted by law, PartScope's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
In no event shall PartScope be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
13. Intellectual Property
The Service, including all software, algorithms, designs, documentation, and related intellectual property, is owned by PartScope and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
14. Changes to Terms
We may modify these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
